These Terms of Use and Privacy Policy (together, the "Terms") govern your use of the DoIt2Gether website, mobile application, and all related services (the "Platform"). Section —
Summary (non-binding, for clarity)
This summary is a plain-English guide only and does not replace the full Terms below:
- DoIt2Gether is a coordination platform — we do not operate experiences.
- Experiences are run by independent Partner venues and providers who are solely responsible for what they deliver.
- You pay us a small non-refundable coordination fee to reserve your seat. You pay the Partner directly for the activity.
- You participate at your own risk. Other participants are strangers.
- You must be 18 or older.
- We collect personal information to run the Platform and share limited details with Partners and group members.
- New Zealand consumer law rights you cannot waive still apply.
Part A — Terms of Use
Section 1
Definitions
In these Terms:
—"Account" means a user profile created on the Platform.
—"Aura Score" or "Karma Score" means our internal reliability indicator assigned to users based on past Platform conduct.
—"Coordination Fee" means the non-refundable fee paid by a User to Veylence to reserve a place at an Experience.
—"Experience" means a shared activity listed on the Platform and delivered by a Partner.
—"Partner" means any third-party venue, restaurant, studio, operator, host, or provider who delivers an Experience.
—"Platform" means the DoIt2Gether website, app, and all related services operated by Veylence.
—"User" or "you" means any person who creates an Account, books an Experience, or uses the Platform.
Section 2
Role of Veylence — coordinator, not operator
2.1Veylence operates the Platform as an introduction and coordination service. Veylence: (a) lists Experiences made available by Partners; (b) accepts Coordination Fees from Users to reserve places; (c) groups Users together for Experiences; (d) shares limited User information with a group shortly before the Experience; (e) provides optional communication tools for the group.
2.2Veylence does not: (a) own, operate, staff, or control any Partner venue, premises, or activity; (b) prepare, serve, or supply any food, beverage, or consumable; (c) conduct, instruct, or supervise any physical, adventure, or recreational activity; (d) employ, engage, or supervise Partner staff; (e) guarantee the quality, safety, suitability, or outcome of any Experience; (f) conduct criminal, credit, or background checks on Users or Partners beyond the limited verification described on the Platform.
2.3Each Partner is an independent third party. Partners are solely responsible for their own premises, staff, licences, insurance, food, beverages, activities, and compliance with all applicable laws.
Section 3
Eligibility and Account
3.1You must be at least 18 years old, have legal capacity under New Zealand law to enter into a binding contract, and not be prohibited from using the Platform under any applicable law.
3.2You must provide accurate, current, and complete information when creating an Account and keep it updated. You are responsible for maintaining the confidentiality of your Account credentials and all activity under your Account.
3.3You may only hold one Account. Veylence may refuse, suspend, or terminate any Account at its sole discretion, including where we reasonably suspect fraud, misuse, safety risk, or breach of these Terms.
3.4Some Experiences require a higher minimum age (for example, alcohol-involved Experiences require 18+; some activities may require 16+ with conditions). You must meet the stated minimum age for each Experience.
Section 4
Booking and payment
4.1Coordination Fee. When you book an Experience, you authorise Veylence (via its payment processor Stripe) to charge you the Coordination Fee shown at checkout (typically NZD $3–$15, varying by Experience complexity). The Coordination Fee is paid to Veylence for its coordination service only.
4.2Activity Cost. You pay the Partner directly at the venue for the cost of the activity itself (e.g. food, drinks, class fee, ticket, equipment). The Platform shows an indicative price range for the activity cost; final pricing is set by the Partner and may vary.
4.3Non-refundable. The Coordination Fee is non-refundable except: (a) where Veylence cancels the Experience, in which case we will refund the Coordination Fee or offer credit toward another Experience, at your choice; (b) where a Partner cancels the Experience before you have travelled to the venue, in which case we will refund the Coordination Fee; (c) as otherwise required by the Consumer Guarantees Act 1993, the Fair Trading Act 1986, or other New Zealand consumer law that cannot lawfully be excluded.
4.4GST. All prices displayed on the Platform are stated inclusive of GST where applicable. Veylence will issue a tax invoice for Coordination Fees on request.
4.5Payment processing. Card payments are processed by Stripe. Veylence does not store full card numbers. Your use of Stripe's services is subject to Stripe's terms and Stripe's privacy policy.
4.6Currency. All prices are in New Zealand Dollars (NZD) unless stated otherwise.
Section 5
Cancellations, no-shows, and reliability
5.1User cancellation: (a) more than 48 hours before the Experience: Coordination/Commitment Fee is forfeited, no further penalty; (b) within 48 hours, or no-show: Coordination Fee is forfeited and your Aura Score is reduced.
5.2Aura/Karma Score. Your Aura Score is an internal indicator reflecting your Platform behaviour, including attendance, cancellations, and conduct reports. It is not a statement about your character, safety, or fitness. Low Aura Scores may result in temporary booking restrictions or account suspension. Veylence may adjust scoring rules at any time, acting reasonably.
5.3Repeated no-shows or serious breaches of the Code of Conduct (clause 6) may result in permanent account termination without refund.
5.4Partner cancellation. Partners may occasionally cancel (for example, due to illness, emergencies, or force majeure). Where this happens, Veylence will notify you as soon as practicable and refund the Coordination Fee. Veylence is not responsible for consequential costs (e.g. your transport to the venue).
Section 6
Code of Conduct
6.1You agree that, at every Experience and on the Platform, you will: (a) treat other Users, Partners, and staff with respect and without discrimination, harassment, or threats; (b) comply with all Partner instructions, rules, safety briefs, and waivers; (c) not attend an Experience while intoxicated to a degree that affects safety or the experience of others; (d) not solicit, sell, recruit, or promote commercial services through the Platform or at Experiences; (e) not share or publish other Users' personal information outside the group; (f) not record, photograph, or film other Users without their consent; (g) not engage in conduct that is unlawful, fraudulent, misleading, or likely to damage Veylence's or a Partner's reputation.
6.2Breach of this Code may result in Aura Score reduction, suspension, permanent termination, forfeiture of paid fees, and — where conduct is unlawful — referral to law enforcement.
Section 7
Group matching and disclosure
7.1Veylence groups Users at its discretion using factors including availability, Experience capacity, age bucket, and other optional profile signals.
7.2Veylence does not represent that any group will be socially compatible, safe, or meet any expectation of outcome. Groups are made up of strangers.
7.3Approximately 24 hours before the Experience, Veylence will share with the group limited information about each participant (first name, general profile signals, and any voluntary additions). Full names, contact details, and personal information are not disclosed unless the User voluntarily shares them.
Section 8
Health, safety, and assumption of risk
8.1You participate in every Experience at your own risk. This includes inherent risks of physical activity (injury), food and beverage (allergens, intolerance, alcohol), and social interaction with strangers.
8.2You are solely responsible for: (a) your own fitness and medical condition, and disclosing relevant information to the Partner; (b) informing the Partner of any allergies, dietary needs, or medical conditions; (c) your transport, belongings, and personal safety; (d) your sobriety and your decisions; (e) signing any Partner waiver or safety form required at the venue.
8.3For physical-activity Experiences (yoga, climbing, kayaking, running, etc.), you confirm at booking that you are medically fit to participate and will comply with the Partner's safety brief on arrival.
8.4If you have a condition that may affect your participation or require accommodation, notify us at hello@doit2gether.co.nz and the Partner before attending.
Section 9
Content, photography, and intellectual property
9.1Platform IP. All content on the Platform (software, design, logos, the DoIt2Gether name, Aura/Karma scoring system, experience templates) is owned by or licensed to Veylence and protected by applicable intellectual property laws. You may not copy, modify, reverse-engineer, or commercially reuse any Platform content without our written permission.
9.2User content. By posting reviews, testimonials, comments, or any content on the Platform, you grant Veylence a non-exclusive, royalty-free, worldwide, sub-licensable licence to use, reproduce, publish, and adapt that content for operating and marketing the Platform. You confirm you have the right to grant this licence.
9.3Photography at Experiences. Where photos or video may be taken, we will request consent via a Platform consent mechanism. You may withdraw consent at any time for future publications by emailing hello@doit2gether.co.nz; reasonable efforts will be made to remove identifiable images.
9.4Your voluntary shares. Anything you voluntarily post in public group chats, reviews, or shared content may be seen by other participants and is shared at your own risk.
Section 10
Prohibited uses
You must not:
(a)use the Platform for any unlawful, fraudulent, or harmful purpose;
(b)impersonate another person or misrepresent affiliation;
(c)interfere with, probe, or attempt to gain unauthorised access to the Platform;
(d)scrape, harvest, or automate data collection from the Platform;
(e)use the Platform to distribute malware, spam, or unsolicited marketing;
(f)circumvent any payment, fee, or Aura Score mechanism;
(g)use the Platform in competition with Veylence, or to solicit Partners or Users for a competing service.
Section 11
Third-party services and links
The Platform may link to or integrate with third-party services (e.g. Stripe, WhatsApp, Google Maps, analytics providers). Veylence is not responsible for the content, practices, or terms of any third-party service.
Section 12
Disclaimers and limitation of liability
12.1Consumer rights preserved. Nothing in these Terms limits or excludes any right you have under the Consumer Guarantees Act 1993, the Fair Trading Act 1986, or any other New Zealand consumer legislation that cannot lawfully be excluded.
12.2Business users. Where you acquire services from Veylence for business purposes, you agree that the Consumer Guarantees Act 1993 does not apply to that acquisition, under section 43 of that Act.
12.3"As is" service. Subject to clause 12.1, the Platform and coordination service are provided on an "as is" and "as available" basis. Veylence does not warrant that the Platform will be uninterrupted, error-free, or meet any particular requirement.
12.4No liability for Partners and third parties. Subject to clause 12.1, Veylence is not liable for: (a) the acts, omissions, negligence, or conduct of any Partner or any Partner's staff, contractors, or agents; (b) the quality, safety, suitability, fitness for purpose, or outcome of any Experience, venue, food, beverage, activity, or service supplied by a Partner; (c) the acts, omissions, or conduct of any other User or third party at or in connection with an Experience; (d) any personal injury, illness, property damage, or loss arising from participation in any Experience.
12.5No liability for indirect loss. Subject to clause 12.1, Veylence is not liable for any indirect, consequential, incidental, special, exemplary, or punitive loss or damage, including loss of profits, loss of data, loss of goodwill, or loss of opportunity.
12.6Liability cap. Subject to clause 12.1, Veylence's total aggregate liability to you under or in connection with these Terms is limited to the total Coordination Fees you have paid to Veylence in the 12 months preceding the event giving rise to the claim, or NZD $100, whichever is greater.
Section 13
Indemnity
You indemnify Veylence, its directors, employees, and agents against all claims, losses, damages, liabilities, and costs (including reasonable legal costs) arising from or in connection with:
(a)your breach of these Terms;
(b)your conduct at any Experience;
(c)your negligent or intentional acts causing harm to any person or property;
(d)any content you post or share through the Platform;
(e)your infringement of any law or third-party right.
Section 14
Force majeure
Neither party is liable for failure or delay in performing any obligation under these Terms to the extent caused by an event beyond its reasonable control, including acts of God, natural disaster, epidemic or pandemic, government action, strike, civil unrest, war, utility or internet outage, or the act or default of a third party. Coordination Fees for Experiences cancelled due to force majeure will be refunded or credited at the User's choice.
Section 15
Changes to these Terms
Veylence may update these Terms from time to time. Where changes are material, we will notify Users by email and/or in-app at least 14 days before the change takes effect. Continued use of the Platform after the effective date of the updated Terms constitutes acceptance.
Section 16
Suspension and termination
16.1Veylence may suspend or terminate your Account, with or without notice, where we reasonably believe you have breached these Terms, the Code of Conduct, or applicable law, or where continued access creates a safety, legal, or reputational risk.
16.2You may close your Account at any time by emailing hello@doit2gether.co.nz. Closure does not entitle you to a refund of Coordination Fees already paid.
16.3Provisions that by their nature should survive termination (including clauses on liability, indemnity, IP, privacy, and governing law) survive termination of these Terms.
Section 17
Assignment
You may not assign any rights or obligations under these Terms. Veylence may assign these Terms, in whole or part, to any successor entity (including through sale, merger, or restructuring of Veylence), on written notice to you.
Section 18
Severability
If any provision of these Terms is held invalid, unlawful, or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision will be read down to the minimum extent necessary to render it enforceable.
Section 19
No waiver
A failure or delay by Veylence to exercise any right under these Terms is not a waiver of that right.
Section 20
No agency
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Veylence, or between Veylence and any Partner.
Section 21
Contracts (Privity) Act / third-party rights
Except as expressly stated, no person other than a party to these Terms has any right under the Contract and Commercial Law Act 2017 or otherwise to enforce any term.
Section 22
Entire agreement
These Terms, together with any additional rules displayed on specific Experience listings and the Privacy Policy below, form the entire agreement between you and Veylence regarding the Platform, and supersede all prior understandings.
Section 23
Disputes and governing law
23.1Resolution ladder. Before commencing any legal proceeding, you agree to first contact us at hello@doit2gether.co.nz and give Veylence 30 days to resolve the matter directly.
23.2If the dispute cannot be resolved directly, the parties agree to attempt mediation through a mutually agreed mediator (or, failing agreement, through Resolution Institute New Zealand) before commencing court proceedings.
23.3Governing law. These Terms are governed by the laws of New Zealand. The parties submit to the exclusive jurisdiction of the courts of New Zealand.
23.4Nothing in this clause prevents Veylence from seeking urgent injunctive or equitable relief in any appropriate court.
